More complete informations about this occupation opportunity please read the description below. The role of Corporate General Counsel reports to the President and CEO of Koniag, Inc. The accountability of General Counsel will be leading corporate strategic and tactical legal initiatives. The Corporation is positioned for strategic growth in various different industries including aerospace, naval marine services, natural resource development and marine construction. This role is integral to support this growth. The incumbent will be responsible for providing senior management and internal business clients with effective legal advice on company strategies and their implementation, managing the legal function and obtaining and overseeing the work of outside counsel.
Essential Functions, Responsibilities & Duties:
Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters. Serve as key counsel/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Judge the merits of major court cases filed against or on behalf of the company, work with the appropriate executive(s) to define strategic defense and approve settlements of disputes where warranted. Assume ultimate responsibility for ensuring that the Corporation conducts its business in compliance with applicable laws and regulations and work with the appropriate regulatory agencies in conducting that accountability. Structure and manage the legal function. Select, retain, manage and evaluate external counsel. Lead the risk management function; identify risks and develop strategies for preventing and minimizing the impact of losses. Create and engage leadership to identify, analyze and mitigate risks and further develop risk policies and procedures. Manage the property/casualty insurance programs; negotiate scope and limits of coverage and deductibles. Coordinate, direct and monitor loss prevention programs. Accountable for overseeing contract compliance and implementing best practice for this function. Provide advice on all legal aspects of the Corporation’s financing including assessing and advising on current and future business structures and legal entities.
