SUMMARY:
Under limited supervision, serves as a staff attorney for NANA Management Services, LLC, a majority owned subsidiary of NANA Development Corporation. This position provides general advice, consultation, contract drafting and review, labor and employment expertise, and litigation supervision. Reports to NDC Senior Corporate Counsel.
DUTIES AND RESPONSIBILITIES:
- General Counsel
2. Oversee outside counsel on contracts, employment and/or commercial matters and litigation.
3. Keeps abreast of issues and developments in legal specialty areas by reading journals, attending professional ! conferences, and conferring with colleagues.
- Contracts
2. Create templates and form contracts for routine transactions.
3. Supervises Contract Manager and oversees contract review process.
4. Conducts training of personnel on compliance with contracting related policies and procedures and related matters.
- Employment Law
2. Reviews, revises, and drafts forms, agreements, policies and procedures to support the HR Department and recruiting teams.
3. Conducts and/or oversees internal investigations.
4. Provides assistance in reviewing and! resolving employee grievances.
5. Creates and delivers presentations, educational programs and workshops to employees and others.
- Compliance
2. Participate in the definition, development and continuing legal oversight of corporate policies concerning contracting, compliance and related matters.
3. Participate in the review, analysis, and execution of international business opportunities to ensure compliance with company policies and U.S. and foreign laws and regulations.
- Corporate Governance
2. Oversee business and security licensing functions.
3. Assists with preparation of Board meeting materials.
4. Oversee Corporate Records Management.
- Litigation / Claims Oversight
2. Represent NMS be! fore agencies.
3. Coordinate with NMS and NDC risk management regarding insured claims and workers compensation disputes.
- Performs miscellaneous job-related duties as assigned.
MINIMUM JOB REQUIREMENTS:
- J.D. or LL.B from an accredited law school.
- Member of the Alaska Bar, or the ability to waive into the Alaska Bar.
- Minimum 8 years of experience and knowledge in the areas listed below.
WORKING CONDITIONS AND PHYSICAL EFFORT:
- Substantial expertise in employment and human resources law.
- Ability and experience to draft and review employment related policies and procedures.
- Experience in conducting internal investigations.
- Experience to draft and review contracts. Experience in service contracts desirable.
- Experience in minority business contracting strongly de! sirable.
- Expertise and ability to draft comprehensive, understandable, form agreements.
- Knowledge of current and developing legal issues and trends in areas of employment and labor law, contracting, corporate and commercial law.
- Knowledge of legal implications of policies and practices.
- Skill in organizing resources, establishing priorities and balancing competing demands.
- Ability to develop and deliver presentations, educational programs and/or workshops.
- Appreciation and respect for Inupiaq culture and values.
- Ability to work well with diverse groups of people.
- Ability to work collaboratively as part of a broader Legal team
- Experience representing clients in front of local, state and federal administrative agencies.
- Litigation experience or experience managing litigation and outside counsel.
- Work is normally performe! d in a typical interior/office work environment. Position is located in! Anchorage, Alaska.
- Limited physical effort required.
- Some travel required, including travel to rural Alaska, the Red Dog Mine, and the North Slope.
