For detail informations about this vacancy opportunity kindly read the description below. Senior Corporate Counsel Duties: Will serve as lead counsel to one of more companies. Also serve as transactional counsel or co-counsel for mergers, acquis! itions, divestitures and other structural re-organizations. Provide legal consultation, contract drafting and review, drafting and review of UCC transactions, corporate entity formation, and drafting, review and closing of business transactions, including stock and asset acquisitions, divestitures and mergers. Provide general advice to businesses in the areas of corporate organization, contracts, risks and liabilities, and employment law. Manage work performed by outside counsel. Review, revise, draft and negotiate contracts and related transactional documents. Provide advice to businesses relating to contracts, potential liabilities, and risk mitigation. Draft documents establishing corporations, limited liability companies, limited liability partnerships and joint ventures. With some oversight, provide corporate related due diligence, draft documents, and close transactions relating to the purchase and sale of businesses and/or their assets, including mergers, acquisition! s, and divestitures. Draft, review and revise documents relati! ng to secured transactions. Draft form contracts and other documents for use by businesses. Provide advice and guidance on real estate transactions; draft and review leases, deeds, deeds of trust, and other documents relating to the purchase, sale, lease, financing and use of real estate. Review, revise and draft corporate policies and procedures. Review, revise and draft board resolutions and corporate governance documents. Provide general legal advice and guidance to businesses and the NDC Operations Group relating to corporate, contract and commercial transactions. Serve as primary attorney to one or more companies and/or the NDC Operations group. Oversee litigation and manage outside counsel handling litigation matters. Create and deliver presentations, training programs and workshops to employees and others. Keep abreast of issues and developments in legal specialty areas by reading journals, attending professional conferences, and conferring with colleagues. May lead,! guide, and/or train legal department staff and student interns. Perform miscellaneous job-related duties as assigned.

Qualifications: A J.D. or LL.B. degree from an accredited law school. Must be a member of the Alaska Bar, or the ability to waive into the Alaska Bar. 10+ years of experience and knowledge in the areas: corporate law, including limited liability companies, limited liability partnerships, partnerships and joint ventures. Knowledge of current trends in corporate governance desirable. Experience and ability to draft fundamental corporate documents, including articles of incorporation, bylaws, shareholder agreements, limited liability operating agreements, partnership agreements and joint venture agreements. Experience in drafting and negotiating wide variety of contracts. Experience in drafting and reviewing documents associated with the purchase, sale, merger or acquisition of business entities. Experience in M&A due diligence. Experience in m! anaging legal projects. Expertise to draft comprehensive and understand! able agreements. Knowledge of UCC law, and ability to review and draft documents related to secured transactions desirable. Knowledge of tax law desirable. Knowledge of legal implications of policies and practices. Knowledge of insurance policies and coverage issues. Knowledge of the Alaska Native Claims Settlement Act and other laws affecting Alaska Natives desirable. Should have skill in organizing resources, establishing priorities and balancing competing demands. Ability to develop and deliver presentations, training programs and/or workshops.
